Acceptance of the Terms and Conditions

This Terms of Service Agreement (this "Agreement") states the terms and conditions under which you may access and use The Activism Network’s ("Organization," "We," "Us," "Our,") platform(s), resources, website(s) and Services ("Services"). Please read this Agreement carefully.

Our Services include, but are not limited to, digital platforms, educational materials, events, partnerships, advocacy efforts, donation processing, Community initiatives, the creation, management, and operation of local Chapters or similar groups ("Chapters"), participation in polls, online discussions (e.g., on Our Discord server or other social media platforms), and any other tools, content, features, or activities We offer through Our platforms, resources, and services. By accessing, browsing, using, or interacting with Our Services, including but not limited to engaging in events, polls, donations, Chapters, or other activities, you acknowledge that you have read, understood, and agree to be legally bound by this Agreement. If you do not accept this Agreement (and therefore do not agree to be bound by this Agreement), do not use Our Services.

By joining and participating in The Activism Network’s Discord server, other online platforms, or any of Our Services, you agree to abide by Our Terms of Service and community guidelines. Your agreement to these terms is binding upon initial acceptance. Removing reaction roles, opting out of specific platform features, or discontinuing participation in certain aspects of Our Services does not nullify your prior acceptance. Continued use of Our platforms or Services constitutes ongoing agreement.

By adhering to these principles, The Activism Network aims to create a safe, supportive, and effective platform for all individuals who have agreed to the Terms of Service and use the Organization's Services (“Community,” “Member”) Members dedicated to advancing social justice and positive change.

Changes to Terms of Service:

The Activism Network reserves the right to update or modify these Terms of Service at any time. Any changes will become effective immediately upon posting the revised Terms of Service on Our platform(s). We will notify all Members of any changes through prominent notifications on Our platform(s) or via direct communication. Your continued use of Our Services and engagement with Our Organization following any changes signifies your acceptance of the updated Terms of Service. If you do not agree with the changes to these Terms of Service, you are free to discontinue using Our Services and end your association with The Activism Network.

Our Purpose:

The Activism Network is a 501(c)(4) nonprofit, created for the common good and general welfare of the nation at large by advocating for systemic changes in social, political, economic, and environmental policies that impact public well-being. 

Prioritizing a human-first philosophy, the Organization advances its mission through partnerships, local Chapters, and direct advocacy. The Organization may engage in public education, lobbying, and other activities aimed at influencing legislation and public policy in accordance with applicable law. No part of the net earnings of the Organization shall inure to the benefit of any private individual. 

The Organization has adopted a document titled the “Declaration of Virtues,” which outlines Our core goals and principles, including but not limited to advocacy for health and well-being, environmental sustainability, and reform in areas such as politics and Social Justice & Human rights.


Mission:
The Activism Network is dedicated to ending needless suffering and uplifting every individual by addressing urgent crises, systemic issues, and promoting human rights, dignity, and equity for all.


Vision:
We envision a world where every person thrives with vast freedoms, supported by a society that values human well-being above all.

Decision-Making and Governance:

The Activism Network is governed by the Board of Directors ("Board"), which holds the responsibility for making final decisions regarding the direction and activities of the Organization. These decisions, which include but are not limited to endorsements, amendments, new initiatives, and other significant matters, are made at the Board's discretion.

The Board may, at its sole discretion, present certain matters to Members. Participation in public voting is limited to those who meet this definition. Public votes are generally binding unless explicitly stated otherwise at the time of the vote. In the case of binding votes, the results will directly determine the outcome of the decision.

The Board reserves the right to veto any decision approved by the Community through a public vote if a majority of the Board votes to override the Community's decision. This veto is final and cannot be overruled by the Community. 


Proposals and Suggestions:

Members of the Community and partners may propose new polls or suggest matters for potential voting. However, the Board retains full discretion over whether to initiate a vote based on these proposals. The Organization is under no obligation to conduct any vote suggested by the Community, and such proposals do not automatically result in a vote or poll being conducted.

The Board of Directors will determine which matters are eligible for public voting and may reject any proposal without explanation.

Code of Conduct:

By engaging with The Activism Network’s Services, you agree to adhere to the principles of respect, integrity, and responsibility. You agree not to engage in unlawful, discriminatory, or abusive behavior, and to refrain from promoting hate, violence, or illegal activities. You agree to act professionally, treating all individuals with dignity and respect, both online and offline. Misrepresentation of your identity or affiliation with The Activism Network is strictly prohibited. You also agree not to use The Activism Network's name or platforms in any way that violates these standards or contradicts the mission of the organization. 

Content Policy:

The Activism Network maintains a zero-tolerance policy for content that promotes violence, hatred, discrimination, or any illegal activities. Members are responsible for ensuring that the content they share aligns with Our values and adheres to Our standards. Any content deemed inappropriate or harmful may be removed. We aim to create a safe and productive space for all individuals to engage in meaningful activism.

If you believe that content shared by another Member on Our platform violates these Terms of Service or your rights, please contact us. We will review the content and take action as appropriate, including removal or suspension of the Member  involved, in accordance with Our Content Policy.


Termination and Suspension:

Participation in The Activism Network is conditional upon adherence to Our principles, this Agreement and Our guidelines. The Activism Network reserves the right to remove, terminate, or otherwise take disciplinary action against individuals or groups that use Our Services, including but not limited to Our Discord server, social media accounts, or events, if their conduct is deemed in violation of Our guidelines or harmful to Our mission and vision. Removal decisions are made at the discretion of the Board and staff. The Board of Directors holds ultimate authority over membership status.

Partnerships and Affiliations:

Organizations seeking to partner with The Activism Network must either fully accept the Declaration of Virtues in its entirety or, at a minimum, commit to upholding at least one of the eight (8) core virtues outlined in the Declaration of Virtues. Additionally, partnering organizations may not engage in or support actions that actively oppose any of the other virtues listed therein. This ensures alignment with Our core mission and values while allowing flexibility in areas where the organization’s focus may differ.

In cases where an organization’s bylaws or legal requirements prevent full acceptance of the Declaration of Virtues, the organization may adopt a modified version that aligns as closely as possible with Our core values. Alternatively, an organization may selectively choose which virtues to commit to. This ensures that all partner organizations remain aligned with The Activism Network's mission and guiding principles while accommodating their own legal constraints.

All partner organizations must also agree to and adhere to The Activism Network's Partnership Policy, which outlines the specific rights, responsibilities, and expectations of Our partner entities. The Activism Network reserves the right to terminate or suspend its partnership with any organization that fails to comply with this Agreement, the Declaration of Virtues, or other applicable policies, at the Board's discretion.

Disclaimer and Limitation of Liability:

The Activism Network promotes peaceful community-building across the U.S. and globally and strictly opposes all forms of violence, including physical harm, property damage, emotional harm, hate speech, intimidation, and incitement to violence. While Our Services facilitate organizing for social justice, We do not endorse or assume liability for violent, illegal, or prohibited actions or viewpoints by individuals, Members, affiliates, or partners. All activities must comply with local, state, and federal laws, and participants are responsible for their actions and any consequences. By using Our Services, you agree to conduct all activities lawfully.

The Activism Network provides resources and a platform for organizing but does not assume liability for individual actions conducted outside the scope of Our policies and guidelines. Participation in The Activism Network is voluntary, and individuals and groups are responsible for their actions and any resulting consequences. The Activism Network is not liable for any damages, losses, or legal issues arising from the use of Our Services, platform or resources.

The Activism Network provides its Services on an "as is" and "as available" basis without warranty of any kind, either express or implied, including but not limited to, fitness for a particular purpose, title, or non-infringement.

Should applicable law not permit the foregoing exclusion of express or implied warranties, then We grant the minimum express or implied warranty required by applicable law. No advice or information, whether oral or written, shall create any warranty, representation or guarantee not expressly stated in this section.

Additionally, We do not make any warranties that the site will be uninterrupted, secure or error free or that your use of Our Services will meet your expectations, or that Our Services of any proportion, is correct, accurate, or reliable. Your use of Our Services is at your own risk. The Activism Network is not responsible for the conduct of any individual using Our Services. The Activism Network does not conduct criminal background checks on its Members.

The Activism Network will not be liable for any damages, whether direct, indirect, incidental, consequential, special, or punitive, including but not limited to loss of data, income, profits, goodwill, property damage, or any claims from third parties arising out of your access to or use of Our Services. This includes, but is not limited to, damages caused by breach of contract, tort (including negligence), infringement of proprietary rights, product liability, or otherwise. Additionally, We are not responsible for any negative impact on your public persona, reputation, or perception resulting from your use of Our Services.

The foregoing shall apply even if We were advised of the possibility of such damages. If you become dissatisfied in any way with Our Services, your sole and exclusive remedy is to stop your use of Our Services.

You hereby waive any and all claims arising out of your use of Our Services. Because some states do not allow the disclaimer of implied warranties or the exclusion or limitation of certain types of damages, these provisions may not apply to you. If any portion of this limitation on liability is found to be invalid or unenforceable for any reason, then Our aggregate liability shall not exceed one hundred dollars ($100).

The limitation of liability herein is a fundamental element of the basis of the bargain and reflects a fair allocation of risk. The Services would not be provided without such limitations and you agree that the limitations and exclusions of liability, disclaimers and exclusive remedies specified herein will survive even if found to have failed in their essential purpose.

Indemnification Clause:

Participation in The Activism Network is voluntary, and individuals and groups are responsible for their actions and any resulting consequences. By participating in the Activism Network, you agree to indemnify and hold harmless The Activism Network and its Members from any claims, damages, losses, or expenses arising out of your actions. This includes, but is not limited to, legal fees and costs associated with defending against such claims. You acknowledge that your actions are your own responsibility and that you will not hold The Activism Network or its Members liable for any repercussions resulting from your conduct.

You are solely responsible for all actions you take, and any information you post, share, obtain, or otherwise disseminate on The Activism Network’s platforms, including but not limited to Our website, social media channels, events, and any other Services We provide. This also includes any in-person activities associated with The Activism Network, such as events, Chapter meetings, campaigns, or any other physical gatherings or initiatives. By using Our Services and engaging in activities organized or supported by The Activism Network, you agree to indemnify, defend, release, and hold harmless The Activism Network, its volunteers, partners, affiliates, officers, directors, and representatives, from any and all third-party claims, damages (both actual and consequential), actions, proceedings, demands, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of, or in connection with:

  • Any negligent or willful acts, omissions, or misconduct by you during any online or in-person activities;

  • Your access to, use of, or participation in The Activism Network’s Services, both virtual and physical;

  • Any breach by you of these Terms of Service, Our Privacy Policy, or any event-specific agreements or guidelines; and/or

  • Your violation of any applicable laws or rights of third parties, either online or during in-person events, gatherings, or activities.

The Activism Network retains the right, at the sole discretion of its Board, to assist in legal fees, settlements, or other damages related to claims arising from actions taken in good faith while participating in the organization's activities. However, this provision does not create an obligation for The Activism Network to provide such assistance, nor does it constitute an assumption of liability for individual actions taken by participants.

We retain the exclusive right to settle, compromise and pay any and all claims or causes of action which are brought against Us without your prior consent. If We ask, you will cooperate fully and reasonably as required by Us in the defense of any relevant claim.

Dispute Resolution:

Any disputes or claims arising out of or related to this Agreement will first be addressed through informal discussions between you and The Activism Network. If the dispute cannot be resolved informally, either party may choose to proceed to binding arbitration. The arbitration will be conducted on an individual basis, and any decision made by the arbitrator will be final and binding.

Before initiating arbitration, you agree to provide Us with a written Notice of Dispute, outlining the nature of the dispute. Both parties will then attempt to resolve the issue informally within 30 days of receiving the notice. If the dispute remains unresolved after 30 days, arbitration may proceed.

The arbitration will be governed by the applicable laws of the state of Michigan and will be conducted by a neutral third-party arbitrator. You and The Activism Network agree that the arbitration will not be conducted as a class action or consolidated with other disputes.

By agreeing to these Terms of Service, you waive the right to initiate or participate in any class action or other court proceedings related to this Agreement, except where prohibited by law. Should any dispute be required to be heard in a court of law, the parties agree that jurisdiction and venue shall be located in the courts of Michigan.

User-Generated Content:
By posting, submitting, or sharing content on The Activism Network platform(s), you retain full ownership of your original content. However, by sharing it with us, you grant The Activism Network a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content to operate, promote, and improve Our Services. You may revoke this license at any time by requesting removal of your content.

You are solely responsible for ensuring that any content you post complies with Our Code of Conduct and any applicable laws.

Third-Party Content:
Content shared from other platforms (e.g., TikTok, Instagram, YouTube) remains the property of the original creator. The Activism Network may repost, re-share, or amplify such content across Our social channels and platforms for educational, commentary, and advocacy purposes, always with appropriate credit and attribution. If any creator prefers not to have their content shared or wishes for a post to be removed, they may contact us directly, and we will respond promptly to their request. Members are responsible for ensuring that sharing such content on Our platform is permitted under the terms of the original platform or with the creator’s consent.

Copyright and Intellectual Property:
Unless otherwise stated, all materials and content created by or for The Activism Network are made available under the Creative Commons Attribution-NonCommercial-ShareAlike 4.0 International (CC BY-NC-SA 4.0). This means you are free to share, remix, adapt, and build upon our content for non-commercial purposes, as long as you provide appropriate credit to The Activism Network and license any derivative works under the same terms.

Proper Attribution Requirements:
When using Our content under this license, you must:

  • Credit The Activism Network by name

  • Include a functional link to Our website, or the corresponding social media channel & post. Website: https://activism-network.org/

Entire Agreement:

Notices:
 

You consent to receive any agreements, notices, disclosures, and other communications (collectively, “Notices”) to which this Agreement refers to electronically, including without limitation by electronic mail or by posting Notices on Our platforms, or Services. You agree that all Notices We provide to you electronically satisfy any legal requirement that such communications be in writing.

Governing Law and Jurisdiction:

All claims arising out of or relating to this Agreement will be governed by the laws of the State of Michigan, excluding Michigan's conflict of laws rules, and will be litigated exclusively in the federal or state courts located in Michigan; you consent to personal jurisdiction in those courts.

The Activism Network is primarily controlled and operated from within the United States. While The Activism Network seeks to be inclusive of all individuals, organizations, and nationalities, the Organization and Our Services are not specifically designed to comply with the laws or regulations of any jurisdiction outside the United States. The Organization does not actively seek out or target users from outside the United States, and as such, may not fully adhere to the local laws of other countries, including, but not limited to, privacy and data protection laws.

By accessing or using Our Services, you do so at your own initiative and risk, and you are responsible for ensuring compliance with all applicable local laws, rules, and regulations. The Organization reserves the right to limit the availability of Our Services, in whole or in part, to any person, geographic area, or jurisdiction at its sole discretion, and may adjust its offerings to better comply with U.S. laws and regulations.

Force Majeure:

The Activism Network shall not be held liable for any failure or delay in performing its obligations under these Terms of Service if the delay or failure is caused by circumstances beyond its reasonable control, including, but not limited to, natural disasters, pandemics, war, strikes, technical failures, or economic disruptions. 

Accessibility:

The Activism Network is committed to making Our platforms accessible to all users, including those with disabilities. If you encounter any barriers in accessing Our content or Services, please contact Us and We will work to provide an accessible experience.

Severability:

If any provision of this Agreement is found to be unlawful, void, or unenforceable, the rest of the Agreement will remain in effect.

Survival:

All provisions of this Agreement which by their nature should survive termination will survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Cookies:

No Third-Party Beneficiaries:

This Agreement controls the relationship between The Activism Network and you. They do not create any third-party beneficiary rights.

No Agency:

No agency, partnership, or joint venture, employer-employee relationship is intended or created by these Terms.

No Waiver:

If you do not comply with this Agreement, and We don’t take action immediately, this doesn’t mean that We are giving up any rights that We may have (such as taking action in the future).

Age Requirements & Parental Consent:
The Activism Network's online platform is intended for users who are 18 years of age or older. By using Our Services, you affirm that you are either at least 18 years old or have obtained the consent of a parent or legal guardian to participate.

While We do not collect government-issued identification or verify age, We operate under the assumption that any user under the age of 18 has received appropriate parental or guardian approval to engage with Our platform and its content.

For in-person events organized or promoted by The Activism Network—such as protests, cleanups, or community gatherings—we recommend that minors be accompanied by a parent or legal guardian. Participation in such events is voluntary, and The Activism Network is not responsible for verifying the age or supervision status of attendees.

Parents and guardians are encouraged to participate, monitor and guide the participation of minors in all aspects of Our online and offline activities.

Amendments:

The Activism Network reserves the right to change, modify, add, or remove any portion of these Terms of Service at any time, at Our sole discretion. When changes are made, We will notify users by posting the revised Terms of Service on Our platform(s) and updating the “Last Updated” date at the top of the page.

We may also provide additional notice through prominent announcements on Our platform(s) or direct communication to Our members. All changes take effect immediately upon posting unless otherwise specified.

Your continued use of Our Services after any such changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms of Service, you may discontinue use of Our Services and end your association with The Activism Network.
